Hukuk sistemimizde uygulanan temel kural s\u00f6zle\u015fme serbestisidir. Ancak hukuk sistemimiz ta\u015f\u0131nmaz m\u00fclkiyetinin devrini konu eden s\u00f6zle\u015fmeleri 6098 Say\u0131l\u0131 T\u00fcrk Bor\u00e7lar Kanunun 237. Maddesindeki h\u00fck\u00fcmle resmi \u015fekle tabi k\u0131lm\u0131\u015ft\u0131r.<\/p>\n<p>Uygulamada ise gerek yat\u0131r\u0131m amac\u0131yla gerekse temel kullan\u0131m arac\u0131yla tasarruf etmek i\u00e7in ger\u00e7ek ve t\u00fczel ki\u015filer ta\u015f\u0131nmaz sat\u0131\u015f\u0131 s\u00f6zle\u015fmeleri yapmaktad\u0131r. Bu s\u00f6zle\u015fmelerde taraf iradelerinin uyu\u015fmu\u015f oldu\u011fu bedelin sat\u0131c\u0131ya \u00f6denme durumu, taraflar aras\u0131nda akdetilen s\u00f6zle\u015fme \u015fartlar\u0131na g\u00f6re farkl\u0131l\u0131k olu\u015fturmaktad\u0131r. Ta\u015f\u0131nmazlar kullan\u0131ma haz\u0131r bir haldeyken ta\u015f\u0131nmaz sat\u0131\u015f s\u00f6zle\u015fmeleri ger\u00e7ekle\u015ftirilebildi\u011fi gibi ta\u015f\u0131nmazlar\u0131n m\u00fclkiyetinin devri hususunda taraflar hen\u00fcz ta\u015f\u0131nmaz\u0131n kullan\u0131ma elveri\u015fli olmad\u0131\u011f\u0131 proje hallerinde de anla\u015fabilmektedirler.<\/p>\n<p>Ta\u015f\u0131nmazlar\u0131n hen\u00fcz kullan\u0131ma haz\u0131r olmad\u0131\u011f\u0131 proje a\u015famalar\u0131nda sat\u0131c\u0131 taraf\u0131ndan bedellerin bir miktar d\u00fc\u015f\u00fcr\u00fclmesi ki\u015fileri projeden ta\u015f\u0131nmaz sat\u0131n al\u0131nmas\u0131 hususuna y\u00f6nlendirmektedir. Bu a\u015famada ta\u015f\u0131nmaz\u0131n s\u00f6zle\u015fmede belirtilen \u00f6zellikleri ta\u015f\u0131y\u0131p ta\u015f\u0131mad\u0131\u011f\u0131 hususunda bir g\u00f6zlemde bulunma imk\u00e2n\u0131 bulamadan ve sat\u0131c\u0131 taraf\u0131ndan proje g\u00f6sterilmek suretiyle s\u00f6zle\u015fmeler akdetilmektedir.<\/p>\n<p>\u00dclkemiz ekonomisindeki ciddi ve sars\u0131c\u0131 dalgalanmalar\u0131n etkisiyle ta\u015f\u0131nmaz sat\u0131m\u0131yla ilgilenen ger\u00e7ek ve t\u00fczel ki\u015filerin bu faaliyetlerini devam ettirebilmesi g\u00fc\u00e7l\u00fcklerle kar\u015f\u0131la\u015fmakta hatta baz\u0131 durumlarda bu ki\u015filerin faaliyetlerinin durmas\u0131na sebep olmaktad\u0131r. Ta\u015f\u0131nmaz sat\u0131m\u0131 konusunda ticari ve mesleki ama\u00e7la de\u011fil ki\u015fisel ihtiyac\u0131 sebebiyle hareket eden t\u00fcketicilerin bu durumda ma\u011fduriyetleri olduk\u00e7a artmaktad\u0131r. Ta\u015f\u0131nmaz sat\u0131m\u0131 konusunda s\u00f6zle\u015fmenin sat\u0131c\u0131 taraf\u0131nda genellikle t\u00fczel ki\u015fili\u011fe sahip y\u00fckleniciler bulunmakta olup \u00fclkemiz ekonomisindeki dalgalanmalar sebebiyle y\u00fcklenicilerin t\u00fczel ki\u015fili\u011finin son bulmas\u0131 ile veya ger\u00e7ek ki\u015fi sat\u0131c\u0131lara son bilinen adreslerinde ula\u015f\u0131lamamakla s\u00f6zle\u015fmenin sat\u0131c\u0131 taraf\u0131n\u0131n bulunamamas\u0131 durumu ortaya \u00e7\u0131kmaktad\u0131r.<\/p>\n<p>Ta\u015f\u0131nmaz sat\u0131\u015f\u0131ndan kaynaklanan bedeli proje a\u015famas\u0131nda sat\u0131c\u0131ya \u00f6demi\u015f olan al\u0131c\u0131lar\u0131n bu durumda ma\u011fduriyeti g\u00fcndeme gelmektedir. Sat\u0131c\u0131n\u0131n projeyi bitirememesi, iradelerin uyu\u015fmu\u015f oldu\u011fu s\u00f6zle\u015fmeden kaynaklanan y\u00fck\u00fcml\u00fcl\u00fcklerini yerine getirememesi ve bunlarla birlikte sat\u0131c\u0131n\u0131n t\u00fczel ki\u015fili\u011fini kaybetmesi veya sat\u0131c\u0131 ger\u00e7ek ki\u015fiye ula\u015f\u0131lamamas\u0131 ile al\u0131c\u0131, ma\u011fduriyetinin giderilmesi hususunda kendisine muhatap bulamamakta ve ma\u011fdur olmaktad\u0131rlar.<\/p>\n<p>Taraflar aras\u0131nda iradelerin uyu\u015fmu\u015f oldu\u011fu s\u00f6zle\u015fmenin konusunu olu\u015fturan ta\u015f\u0131nmaz, sat\u0131c\u0131 taraf\u0131ndan kendi ta\u015f\u0131nmaz\u0131na yap\u0131 olarak in\u015fa edilebilece\u011fi gibi, sat\u0131c\u0131 olan mal sahibinin, bir in\u015faat s\u00f6zle\u015fmesiyle y\u00fckleniciye yapt\u0131rabilmekte veya arsa pay\u0131 kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleriyle sat\u0131c\u0131 olan y\u00fcklenici taraf\u0131ndan in\u015fa edilebilmektedir. S\u00f6z konusu \u015fekillerde ta\u015f\u0131nmaz\u0131n in\u015fas\u0131 konusunda faaliyet g\u00f6steren sat\u0131c\u0131 taraf\u0131n al\u0131c\u0131yla proje a\u015famas\u0131nda ta\u015f\u0131nmaz\u0131n sat\u0131\u015f\u0131 konusunda anla\u015f\u0131p bedeli tamamen pe\u015fin ya da irat olarak belirli d\u00f6nemlerde bedeli t\u00fczel ki\u015fili\u011fin sona ermesi durumuna kadar \u00f6demesi halinde \u00f6denen bedellerin iadesi hususunda al\u0131c\u0131n\u0131n muhatap bulamamas\u0131 sebebiyle ma\u011fduriyetleri do\u011fmaktad\u0131r.<\/p>\n<p>Uygulamada sat\u0131c\u0131 tarafta bulunan ger\u00e7ek veya t\u00fczel ki\u015filer yap\u0131n\u0131n tamamlanmas\u0131 ve bunlar\u0131n m\u00fclkiyetlerinin devriyle elde edilecek olan bedelin payla\u015f\u0131lmas\u0131 amac\u0131yla adi ortakl\u0131k kurabilmektedir. Arsa pay\u0131 kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmelerinde mal sahibi ile y\u00fcklenici, in\u015faat s\u00f6zle\u015fmelerinde y\u00fcklenici ve mal sahipleri aralar\u0131nda da adi ortakl\u0131k kurulma durumu g\u00fcndeme gelmektedir. Adi ortakl\u0131\u011f\u0131n kurulmas\u0131 i\u00e7in kanuni olarak \u015fekil \u00f6ng\u00f6r\u00fclmemi\u015f olup s\u00f6z konusu anla\u015fma taraflar aras\u0131nda adi \u015fekilde s\u00f6zl\u00fc olarak da kurulabilmektedir.<\/p>\n<p>Adi ortakl\u0131k T\u00fcrk Bor\u00e7lar Kanunun 620. Maddesinde \u201ciki ya da daha fazla ki\u015finin emeklerini ve mallar\u0131n\u0131 ortak bir amaca eri\u015fmek \u00fczere birle\u015ftirmeyi \u00fcstlendikleri s\u00f6zle\u015fmedir\u201d \u015feklinde h\u00fckme ba\u011flanm\u0131\u015ft\u0131r. Al\u0131c\u0131n\u0131n ta\u015f\u0131nmaz\u0131n m\u00fclkiyetinin devrine kar\u015f\u0131l\u0131k olarak proje a\u015famas\u0131nda vermi\u015f oldu\u011fu bedelin kar\u015f\u0131l\u0131\u011f\u0131n\u0131 t\u00fczel ki\u015fili\u011fin sona ermesi sebebiyle sat\u0131c\u0131dan talep edememesi durumunda ise adi ortakl\u0131\u011f\u0131n var oldu\u011funun ispat\u0131yla s\u00f6z konusu mal sahibi veyahut projeye devam eden bir \u00fc\u00e7\u00fcnc\u00fc ger\u00e7ek veya t\u00fczel ki\u015fiden s\u00f6zle\u015fmeye ayk\u0131r\u0131l\u0131k sebebiyle talepte bulunabilme \u015fans\u0131 do\u011fmaktad\u0131r.<\/p>\n<p>S\u00f6zle\u015fmelere h\u00e2kim olan nisbilik ilkesi, s\u00f6zle\u015fme ili\u015fkisinden kaynaklanan taleplerin s\u00f6zle\u015fme taraflar\u0131 aras\u0131nda ge\u00e7erli olaca\u011f\u0131 ve bu ki\u015filer aras\u0131nda talep edilebilece\u011fini i\u00e7ermektedir. Al\u0131c\u0131n\u0131n ma\u011fduriyeti sebebiyle \u00f6demi\u015f oldu\u011fu bedelin iadesiyle ma\u011fduriyetinin kar\u015f\u0131lanmas\u0131 i\u00e7in ba\u015fvuraca\u011f\u0131 yasal yollar\u0131 kullan\u0131rken t\u00fczel ki\u015fili\u011fini kaybetmi\u015f veya ula\u015f\u0131lamayan sat\u0131c\u0131n\u0131n yan\u0131nda adi ortakl\u0131\u011f\u0131n ispat\u0131 \u015fart\u0131yla T\u00fcrk Bor\u00e7lar Kanunun 638. Maddesinin 3. F\u0131kras\u0131 gere\u011fi somut olaydaki durumlara g\u00f6re 3. Ki\u015finin de muhatap g\u00f6sterebilip m\u00fcracaat etme imkan\u0131 bulunmaktad\u0131r.<\/p>\n<p>S\u00f6z konusu taleplere yasal yollarla ba\u015fvurulmas\u0131 durumunda T\u00fcrk Bor\u00e7lar Kanunu\u2019nun 620. Maddesinde belirtilen adi ortakl\u0131\u011f\u0131n varl\u0131\u011f\u0131n\u0131n tespitinde;<\/p>\n<ul>\n<li>Projeye ili\u015fkin olan tan\u0131t\u0131m materyalleri<\/li>\n<li>Projeye ili\u015fkin web siteleri<\/li>\n<li>Web sitesine konulan belgelerin ne zaman eklendi\u011finin mahkeme taraf\u0131ndan talep ile tespiti<\/li>\n<li>Taraflar\u0131n ticari defterleri aras\u0131nda profesyonel olarak mali inceleme talep edilerek\u00a0vs. yollarla \u015fartlar\u0131n mevcudiyetinin mahkeme huzurunda ispat\u0131 sa\u011flanabilir.<\/li>\n<\/ul>\n<p>Taraflar aras\u0131ndaki adi ortakl\u0131\u011f\u0131n \u015fartlar\u0131n\u0131n bu gibi vas\u0131talarla ispat edilmesi halinde sat\u0131c\u0131 t\u00fczel ki\u015fili\u011fe sahip olmasa dahi T\u00fcrk Bor\u00e7lar Kanunun 638. Maddesine g\u00f6re sat\u0131c\u0131 ile mal sahibi m\u00fcteselsilen sorumlu olaca\u011f\u0131 i\u00e7in mal sahibinden de talepte bulunabilme \u015fans\u0131 bulunmaktad\u0131r.
